Validation Agreement

Instructions:

By completing this Validation Parking Agreement (the Agreement), you hereafter referred to as 'Business' and City Center Parking (CCP) agree to the following:

1) CCP shall permit Business’ customers to park in most CCP attended parking lots, and depending on the fee incurred, CCP shall accept as full or partial payment of its fee, parking tickets validated by Business.

2) CCP has no obligation to provide parking to Business’ customer except on an "as available" basis.

3) CCP will submit invoices to Business’ for CCP parking fees resulting from Business’ validations. CCP’s parking fee is subject to change without notice. In addition, CCP will charge, and Business will pay, a processing fee equal to 3% of the Business’ validated parking charges. Business agrees to pay the amount invoiced within ten days of the invoice date. Any amount that remains unpaid after ten days will be subject to a late fee of 10% payable upon demand. All sums not paid when due shall bear interest at the rate of 18% per year or the maximum rate allowed by law, whichever is the lesser. In addition, to all of its other remedies, CCP may refuse to accept parking tickets validated by Business during the period Business is delinquent.

4) Either party can terminate this agreement upon 30-day notice. However, termination of this Agreement shall not affect the Business’ obligation to pay for parking tickets validated by Business before or after termination. Business agrees to pay CCP twice its customary parking fees for all parking tickets validated by Business following termination of this Agreement.

5) CCP EXPRESSLY DISCLAIMS ALL REPRESENTATION AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION OF WARRANTY REGARDING THE NUMBER, LOCATION OR AVAILABILITY OF PARKING SPACES. CCP SHALL NOT BE LIABLE TO BUSINESS FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS OR BUSINESS. IN NO EVENT SHALL CCP’S LIABILITY EXCEED THE AMOUNT COLLECTED FROM BUSINESS FOR THE INCIDENT OR INCIDENCES AT ISSUE.

6) If Business fails to object in writing to the charges on any invoice rendered by CCP within ten (10) days after receipt, Business will be deemed to have fully approved the invoice in all respects.

7) In the event a lawsuit is instituted with respect to this agreement, the prevailing party shall be entitled to its reasonable attorney fees as awarded by the court at trial or upon appeal. This Agreement contains the entire understanding of the parties relating to validated parking and may only be amended by a written document executed by both parties.
